That Council convene to a Closed Session pursuant to Section 239 (2) of the Municipal Act, 2001, as amended: • To discuss a matter pertaining to a trade secret or scientific, technical, commercial, financial or labour relations information, supplied in confidence to the municipality or local board, which, if disclosed, could reasonably be expected to prejudice significantly the competitive position or interfere significantly with the contractual or other negotiations of a person, group of persons, or organization negotiations [Sec. 239 (2) (i), Municipal Act, 2001, as amended]; and • To discuss a proposed or pending acquisition or disposition of land by the municipality or local board [Sec. 289 (2) (c), Municipal Act, 2001, as amended]. That the Deputy CAO be authorized to: Town of Ajax Special Council Meeting – July 29, 2025 a. Finalize and execute the Agreement of Purchase and Sale (ATT-1) for 99 Barnham Street on behalf of the Town, generally in the form attached hereto or in a form satisfactory to the Deputy CAO, for a purchase price of $3,300,000.00; b. Notwithstanding clause a., if required, negotiate and amend the terms and conditions of the APS including those related to parking, conditions, purchase price, and closing date; c. If required, negotiate and execute any requisite ancillary agreements for the APS to take effect and for the transaction to be completed; and d. Take all other actions necessary to ensure completion of the transaction.
